Introduction
These Terms of Service (“Terms”) govern the relationship between Meet Live (“Platform”) and any merchant who registers to sell shopping vouchers via Meet Shop (“Merchant” or “you”). By registering, upgrading your account, and/or selling vouchers on Meet Shop, you agree to comply with these Terms. Please read them carefully.
Meet Live provides a platform for merchants to sell shopping vouchers for physical goods or services to end consumers via its Meet Shop. Users of Meet Live can browse, purchase, and redeem vouchers at participating merchants’ physical retail locations.
Interpretation
“Meet Live” refers to the platform that connects users and merchants.
“Meet Shop” refers to the section of the Meet Live platform where merchants can list and sell shopping vouchers.
“Voucher” refers to the shopping voucher or coupon sold by the Merchant to a user, which entitles the user to redeem it for a specific product or service in the Merchant’s store.
“User” refers to individuals purchasing and redeeming vouchers.
“Merchant Account” refers to the account granted to the merchant after their application is approved, which allows them to sell vouchers on Meet Shop.
Services
1. Merchant Registration and Approval
To sell vouchers on Meet Shop, the merchant must first create a user account on Meet Live. After registration, the merchant can submit an application for account upgrade to become an approved merchant. The application will require the following:
Retail shop details (shop name, physical address)
Company registration information (SSM)
Bank account details for payment settlement
Shop images (with signboard)
Director’s name, ID card number, and scanned copy of the director’s ID
Nature of business and product types
Contact details
Meet Live will review the application and, if approved, grant the merchant access to their Meet Shop account.
2. Voucher Listing
Once approved, merchants can create and list shopping vouchers in Meet Shop. For each voucher, the merchant must provide:
A clear product or service description and image of the product
The price of the voucher
Validity period of the voucher
Any terms and conditions associated with the voucher
3. Voucher Redemption
Every merchant will be provided with a unique QR code in their Meet Live account. The merchant must display this QR code at their physical retail location for users to scan and redeem vouchers.
4. Voucher Sale and Settlement
When a user purchases a voucher, the merchant is required to fulfill the product or service described in the voucher. The value of the voucher will be credited to the merchant’s account in Meet Live upon redemption. Settlements can be made once a week, and payments will be credited to the merchant’s bank account within 1-3 working days.
5. Out-of-Stock or Discontinued Products
If an item listed in a voucher is out of stock or discontinued, the merchant must immediately remove or update the voucher from their Meet Shop store to prevent further sales.
6. No Shipping Involved
All purchases and voucher redemptions are done offline at the merchant’s physical store. The merchant is responsible for providing the physical products to the user.
Merchant’s Obligations
1. Product Integrity
Merchants must ensure that the products or services offered via vouchers correspond to the descriptions in the voucher. They are prohibited from offering products that differ from those described.
2. Compliance with Laws
The merchant agrees to comply with all applicable local and national laws, including, but not limited to, laws related to consumer protection, privacy, and the sale of goods and services.
3. Accuracy of Information
The merchant must ensure that all business details, including product descriptions, prices, and images, are accurate and up-to-date at all times.
4. Promotion and Sales Events
Merchants can collaborate with Meet Live for special promotions, sales events, and campaigns. Details and terms of these collaborations will be agreed upon separately.
5. Prohibited Products
Merchants are prohibited from listing and selling the following products on Meet Shop:
Drugs: Illegal substances, controlled medications, or any products containing illegal substances.
Pornography: Materials, including explicit images, videos, or publications that are sexually explicit or graphic.
Tobacco Products: Cigarettes, cigars, and other tobacco-related items.
Alcohol: Any form of alcoholic beverage or product.
Counterfeit Goods: Fake, imitated, or pirated goods that are meant to deceive consumers.
Hazardous Products: Products that pose an unreasonable risk to health, safety, or the environment.
Weapons: Firearms, ammunition, knives, explosives, or any other weapons.
Stolen Goods: Any goods that are stolen or that do not have the proper authorization to be sold.
Restricted or Banned Items: Any items that are prohibited by law, government regulations, or Meet Live’s policies.
Gambling or Betting Services: Any products or services related to gambling or betting, including lottery tickets and gambling paraphernalia.
Meet Live reserves the right to remove any such listings without notice and take further action if necessary.
Merchant’s Representations and Warranties
By registering and using Meet Live, the Merchant represents and warrants that:
All information provided during registration and application is true, accurate, and complete.
The merchant holds the legal right to sell the products listed on Meet Shop.
The products are not harmful, illegal, or in violation of any laws or regulations.
The merchant will not engage in fraudulent activities or misleading representations about their products.
Fees and Taxes
1. Merchant Fees
Meet Live charges a 7% fee on the value of each voucher sold. This fee will be deducted before settlement is made to the merchant’s account.
2. Taxes
The Merchant is responsible for all taxes, duties, or other charges that may be levied on the sale of products or vouchers. This includes, but is not limited to, sales tax, VAT, or any other applicable taxes.
3. No Application Fee
There is no fee required for submitting an application to become a merchant on Meet Live.
Privacy
1. Data Collection and Use
Meet Live will collect and store certain personal information as part of the merchant registration and voucher redemption processes. This information will be handled in accordance with Meet Live’s Privacy Policy.
2. Merchant’s Responsibility for Customer Data
Merchants are responsible for safeguarding any customer data they may obtain in the process of selling or redeeming vouchers. They must comply with all data protection and privacy laws when handling this information.
Termination
1. Termination by Meet Live
Meet Live reserves the right to terminate or suspend the merchant’s account if the merchant violates any terms of this agreement, engages in unlawful activity, or fails to comply with the platform’s policies. Repeated violations may result in permanent termination of the account.
2. Termination by Merchant
The merchant can terminate their account at any time by submitting a request to Meet Live. Upon termination, any outstanding obligations between the merchant and Meet Live must be settled.
3. Consequences of Termination
Upon termination, the merchant will forfeit any remaining access to Meet Shop and will no longer be allowed to sell vouchers on Meet Live. The merchant must honor any pending transactions that were completed prior to termination.
Liability
1. Limitation of Liability
Meet Live shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the merchant’s use of the platform. The platform is provided on an “as is” basis, and Meet Live does not guarantee the merchant’s sales or success.
2. Indemnification
The merchant agrees to indemnify and hold harmless Meet Live from any claims, losses, or damages that arise out of the merchant’s actions or products, including any legal action related to the sale of illegal or defective products.
Miscellaneous
1. Amendments
Meet Live reserves the right to amend these Terms at any time. The merchant will be notified of any significant changes, and continued use of the platform after amendments constitutes acceptance of the updated Terms.
2. Governing Law
These Terms will be governed by and construed in accordance with the laws of the jurisdiction in which Meet Live operates.
3. Dispute Resolution
Any disputes between the merchant and Meet Live will be resolved through arbitration or mediation as specified by Meet Live.
4. Force Majeure
Meet Live is not responsible for any failure to perform due to events beyond its control, such as natural disasters, strikes, or technical failures.
By agreeing to these Terms, the Merchant acknowledges that they have read, understood, and agreed to comply with all the terms, conditions, and obligations set forth by Meet Live for selling vouchers on Meet Shop.
